<p><span dir="auto">In the second quarter of 2025 (2Q25), Traxión reported </span><strong><span dir="auto">consolidated revenues of six thousand 864 million pesos (mdp)</span></strong><span dir="auto"> , this level is a drop of 6.9% compared to the same quarter of 2024, this quarterly revenue is the lowest recorded since 1Q24.</span></p>
<p><span dir="auto">Regarding </span><strong><span dir="auto">EBITDA</span></strong><span dir="auto"> , Traxión announced that they recorded 1,204 million pesos, a contraction of 4.4% compared to 2Q24.</span></p>

The report justified the decline as &#8220;primarily due to a temporary reconfiguration in the movement of goods from several clients, resulting from tariff uncertainty, which resulted in a drop in the segment&#8217;s operating volumes; and the adjustment in revenue from last-mile retail (B2C) operations, which continued into 2Q24.&#8221;</span></p></blockquote>
<p><span dir="auto">Regarding the </span><strong><span dir="auto">reduction in costs and expenses in the segment</span></strong><span dir="auto"> , this is justified by the decrease in operating volume in general, and the effects of the efficiency plan implemented in 2Q24, which includes the adjustment of last mile retail operations (B2C) in 2Q24.</span></p>
<blockquote><p><span dir="auto">&#8220;However, we believe this decline in volume is temporary and short-term, as we began to see signs of normalization during the first weeks of the third quarter,&#8221; said Aby Lijtszain, co-founder and CEO of Traxión, in his message to investors.</span></p></blockquote>
<p><span dir="auto">The other divisions performed differently. </span><strong><span dir="auto">The Passenger Mobility segment recorded revenues of 2.744 billion pesos</span></strong><span dir="auto"> , a 4.5% increase over the previous quarter.</span></p>
<p><strong><span dir="auto">The Cargo Mobility segment reached revenues of 2.059 billion pesos</span></strong><span dir="auto"> , an increase of 1.3% compared to the 2.032 billion pesos that Traxión achieved in this segment during 2Q24.</span></p>

<p><span dir="auto">In his report to investors, Aby Lijtszain announced that the acquisition of </span><a href="https://solistica.com/"><span dir="auto">Solistica</span></a><span dir="auto"> will allow Traxión to continue </span><strong><span dir="auto">expanding its footprint in the country</span></strong><span dir="auto"> , better leveraging </span><strong><span dir="auto">trade between Mexico and the United States.</span></strong></p>
<p><span dir="auto">At the close of 2Q25, Traxión reported a </span><strong><span dir="auto">warehouse area of 694,802 square meters (m2)</span></strong><span dir="auto"> , which was -2.1% compared to 2Q24.</span></p>
<p><strong><span dir="auto">2025 RESULTS GUIDE</span></strong></p>
<p><span dir="auto">During its 2Q25 report, Traxión announced its 2025 earnings guidance, which it had not previously disclosed, noting that it does not include Solistica&#8217;s potential within the platform and that it will not be considered until its 2026 guidance.</span></p>
<blockquote><p><span dir="auto">&#8220;Traxión expects to grow its revenue by 14% to 16%, maintaining an EBITDA margin of between 16% and 17%,&#8221; the report states.</span></p></blockquote>
<p><strong><span dir="auto">Meanwhile, a CapEx of approximately 2.4 billion pesos</span></strong><span dir="auto"> is planned for organic growth and equipment renewal.</span></p>
<blockquote><p><span dir="auto">&#8220;The company expects to end 2025 with a leverage level of around 2.2x net debt to EBITDA,&#8221; Traxión reported.</span></p></blockquote>

<p><span>Solistica was created within </span><a href="https://www.femsa.com/es/"><span>FEMSA</span></a><span> and operated as its integrated logistics (3PL) division, with a presence in Mexico, Colombia, and Brazil. Its </span><em><span>asset-light</span></em><span>model includes warehousing, distribution, and freight brokerage services.</span></p>
<p><span>The transaction, valued at approximately </span><strong><span>4.04 billion pesos —equivalent to approximately US$80 million—includes FEMSA&#8217;s </span></strong><strong><em><span>transportation management</span></em></strong><span> operations <strong>in Mexico and </strong><strong><em>contract logistics</em></strong><strong> operations in Mexico, Brazil, and Colombia</strong> , but excludes FEMSA&#8217;s LTL (less-than-truckload) operations in Brazil.</span></p>
<p><span>According to the information shared, </span><strong><span>Traxión decided to simultaneously divest Solistica&#8217;s operations in Colombia and Brazil</span></strong><span> , which were acquired by a consortium of Latin American investors, as part of the company&#8217;s strategic focus.</span></p>
<p><span>With this, Traxión reaffirms its commitment to focusing on the Mexican market, optimizing its portfolio, and prioritizing profitability.</span></p>

It is extremely strategic and consolidates our leadership in the Mexican logistics market. <p><span>Looking to the future of mobility and to continue its commitment to sustainable mobility, as well as guarantee safe journeys for users and contribute to caring for the environment, </span><strong><a href="https://traxion.global/es/"><span>Traxión</span></a><span> begins the journey of its first electric bus</span></strong><span> .</span></p>
<p><span>The mobility and logistics solutions provider in Mexico </span><strong><span>chose </span></strong><a href="https://mexico.internationaltrucks.com/"><span>International </span></a><strong><span>as its business partner in this new service area, with the eCE bus</span></strong><span> , which offers a minimum autonomy of 210 kilometers.</span></p>
<p><span>The new bus has a capacity for 44 passengers and will provide school transportation service in the western part of Mexico City, an area that was chosen for its terrain and infrastructure characteristics and for being an ideal space for the first field tests of International&#8217;s eCE.</span></p>

<p><span>Likewise, the general director of the People Mobility segment at Traxión, assured that the company is committed to leading the transition towards cleaner and more efficient transportation. However, he clarified that the effort requires the sum of many wills.</span></p>

<p><span>In a statement, FEMSA reported that the transaction was announced on July 17 with </span><a href="https://millpoint.com/"><span>Mill Point Capital LLC</span></a><span> , a private equity firm.</span></p>
<p><strong><span>Enrique González Zorrilla</span></strong><span> , director of Strategic Projects at FEMSA, posted </span><a href="https://www.linkedin.com/in/enrique-gonzalez-zorrilla-796b271aa/"><span>on his LinkedIn profile</span></a><span> about this operation, which took place this Monday.</span></p>
<blockquote><p><span>“Today, the divestment of our refrigeration and foodservice businesses, Imbera, Repare, Torrey and Cooking Depot, to a private equity fund, Mill Point, was authorized. We continue to execute the FEMSA Forward focus and growth strategy.</span><br />

<p><span>It is worth remembering that last October, </span><a href="https://traxion.global/es/inversionistas"><span>Grupo Traxión</span></a><span>  announced that  </span><strong><span>it signed an agreement for the acquisition</span></strong><span>  of  </span><a href="https://solistica.com/"><span>Solistica</span></a><span> , one of FEMSA&#8217;s business units.</span></p>
<blockquote><p><span>“Traxión informs the investing public that it has signed an agreement to acquire Solística, a comprehensive logistics services company, a subsidiary of Grupo FEMSA. Solística has an asset-light model that offers 3PL and freight brokerage services, with operations in Mexico, Brazil and Colombia, with a leadership position in its business lines, particularly in the north of the country,” Traxión said in a statement.</span></p></blockquote>
<p><span>This transaction, which is subject to regulatory approval, is expected to be completed in the  </span><strong><span>first quarter of 2025.</span></strong></p>
<p><span>The agreed price for this operation is approximately </span><strong><span>4,060 million pesos</span></strong><span> , on a debt-free and cash-free basis, and will be paid in cash.</span></p>

<p><span>In its document sent to investors and the </span><a href="https://bmv.com.mx/"><span>Mexican Stock Exchange (BMV),</span></a><span> it reported revenues of seven thousand 369 million pesos (mdp) in 2Q24, a growth of 23.2% compared to the same cycle in 2023. </span><strong><span>In the accumulated to 1H24, it entered 14 1,030 million pesos, an increase of 19.5% compared to the first half of 2023.</span></strong></p>

<p><span>Meanwhile, </span><strong><span>the Passenger Mobility division recorded revenues of 2,626 million pesos in the quarter,</span></strong><span> to contribute 35.6% of the total generated by Traxión, for the first time behind Logistics and technology.</span></p>
<p><span>The Cargo Mobility division </span><strong><span>remained in third place in revenue generation,</span></strong><span> adding 2,032 million pesos during 2Q24.</span></p>

<p><strong><span>In 2Q24, the Logistics and technology unit remained the one with the highest growth,</span></strong><span> registering a variation of 40.5% compared to the same cycle in 2023, People Mobility advanced 20.1% in the same comparative cycle, while Freight Mobility registered a increase of 9.0%, the smallest of the divisions.</span></p>

<h4><span>Adjustment in CapEx</span></h4>
<p><span>In the message sent to investors by Aby Lijtszain, co-founder and executive president, it was reported that the decision was made to reduce CapEx by 2024 by 600 million pesos. </span><strong><span>“This will result in a CapEx figure lower than that announced in February, and which will be around 3,600 million pesos, instead of 4,200 million pesos originally budgeted.</span></strong><span> It is important to mention that we do not expect changes in our growth objectives derived from this modification,” he said.</span></p>
<p><span>According to the guide for 2024 presented by Traxión, the growth perspective will be around 19%, while EBITDA will be around 18.3 percent.</span></p>

When companies expand in this way, they do not do so within an optimal operating framework, due to the strong demand for all types of resources necessary for such growth. And this is what you are going to save, you are going to be safer and you are going to pollute less,” he said.</span></p></blockquote>
<p><span>In an interview with T21, he estimated that they hope to have </span><strong><span>a new user every two months of the rest of the year,</span></strong><span> in addition, the growth will not only come from these, but also from those who already use their services.</span></p>
