On September 29, TRAXION ( number 5 in the Top 100 of the Transportation Industry® ) will commemorate nine years since its listing on the Mexican Stock Exchange (BMV) . Just days before reaching this milestone, investors were informed this afternoon of the interest of a company intending to make a voluntary public tender offer for up to 100% of TRAXION’s outstanding shares.

A statement was released announcing the following: “A company in which Mr. Aby Lijtszain Chernizky, our Executive President (sic), participates as a shareholder, informed the Board of Directors of Traxion of its intention to initiate the processes aimed at carrying out a voluntary public acquisition offer for up to 100% of the shares representing the circulating share capital of Traxion.”

At the close of trading on the auction floor, TRAXION shares were priced at 11.06 pesos , an increase of 1.56% compared to the price on Friday, September 11.

Based on the information shared in the investor statement, the acquisition offer is expected to be made on the Mexican Stock Exchange (BMV), at an estimated purchase price of 13.18 pesos per share. “This price reflects a premium of over 20% compared to the average trading price of Traxion’s shares for the 60 trading days ending Friday, September 11.”

In the second quarter of 2026 (2Q26) report, TRAXION reported a 36.2% increase in consolidated revenue to total nine billion 346 million pesos (mdp) , mainly driven by a 124.1% increase in sales in the logistics and technology segment.

The Logistics and Technology division is the largest contributor to TRAXION’s revenue, in Q2 2026 it contributed 49.4% of the total, to the detriment of the cargo segment which accounted for 19.5% of the total.

Regarding the acquisition offer, it was reported that it would be subject to, among other things, the authorization of the National Banking and Securities Commission.
